Terms of Use

1. Acceptance and Eligibility

By accessing or using Ophraxx AI—including our website, web applications, conversational bot services, application programming interfaces (APIs), and any other products or services we offer (collectively, the "Service")—you agree to be bound by these Terms of Use. If you do not agree, you may not use the Service.

You must be at least 13 years old in the United States and at least 16 years old in the United Kingdom (or such higher minimum age as required by your jurisdiction) to use the Service. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms and that the organization will be responsible for all use under your account.

2. Service Overview and Channels

Ophraxx AI is a hand-built AI platform. Our models, safety systems, infrastructure, and policies are designed and operated by us. All models run on the Ophraxx Web Core, our in-house infrastructure optimized for fast, reliable, and intelligent responses. We do not rely on white-label or outsourced AI for core behavior; what you use is what we build and maintain.

2.1 Model Network and Tiers

The Ophraxx Web Core powers four model tiers, each representing a different tuning profile and capability level: OW-F1 (Free), OW-B12 (Basic), OW-U45 (Ultra), and OW-P88 (Pro). Message quotas, file upload limits, response priority, and feature access vary by tier. Current limits include approximately 500 messages per month on the Free tier, ~1,000 on Basic, 10,000+ on Ultra, and 50,000+ on the Pro tier. Rate limits and feature availability are enforced by our systems and may be updated as the platform evolves.

2.2 Bot and Conversational Services

Our conversational AI may be used in connected environments (e.g. servers or spaces where the bot is installed). There, the Service provides real-time AI-powered assistance, moderation support, and automation features. Usage is subject to per-user and per-server rate limits and quotas. Conversation context is held in memory for a short session window (e.g. 15 minutes) and is not persisted to long-term storage. 2.3 Website and Web Applications

Our website and web applications provide account registration and sign-in, profile and preference management, security settings (including two-factor authentication), usage and session information, and access to policy and support resources. Data you provide on the web (e.g. email, profile fields, settings) is processed and stored by our systems to operate the Service and as described in our Privacy Policy. We do not sell your data or use it for advertising.

2.4 Changes to the Service

We may add, modify, or discontinue features, rate limits, or access channels at any time. Material changes that affect your use will be communicated via our policy pages or in-product notice where appropriate. Continued use after such changes constitutes acceptance of the updated Terms.

3. Accounts and Access

  • Account responsibility: You are responsible for all activity that occurs through your account and for any use of the Service in spaces (e.g. servers) where you have administrative or usage rights. You must keep your credentials secure and notify us promptly of any unauthorized access.
  • Accuracy: You must provide accurate, current, and complete information when registering or updating your account or profile.
  • Unauthorized access: You must not attempt to gain unauthorized access to the Service, other accounts, or our systems; circumvent security or authentication; or interfere with the integrity or availability of the Service.
  • Access restrictions: We may suspend, limit, or terminate your access to protect users, enforce these Terms or our Usage Policies, comply with law, or protect our infrastructure. Where feasible, we will provide notice and an opportunity to appeal as described in our policy pages.

4. Acceptable Use

You agree to use the Service only in compliance with these Terms, our Usage Policies, and all applicable laws and regulations. The following are prohibited:

  • Requesting, generating, or facilitating content that promotes violence, self-harm, illegal activity, or harm to others.
  • Engaging in or promoting harassment, hate speech, discrimination, or targeted abuse.
  • Using the Service for phishing, malware, credential theft, unauthorized access, or other security abuse.
  • Attempting to bypass or disable our safety systems, rate limits, quotas, or access controls.
  • Impersonating others or misrepresenting AI-generated content as human-generated.
  • Using the Service to spam, automate abusive behavior, or overload our systems.
  • Collecting or harvesting data from the Service or other users in an unauthorized manner.

This list is not exhaustive. Our Usage Policies provide further detail. Violations may result in warnings, throttling, temporary or permanent restrictions, or termination of access. We enforce these rules through automated and, where appropriate, human review; all enforcement logic is built and operated by us.

5. AI Output and Limitations

Our AI generates responses based on patterns in data and may be inaccurate, incomplete, outdated, or inappropriate. You are solely responsible for how you use any output. AI outputs are not professional advice and must not be relied upon as the sole basis for medical, legal, financial, or other regulated decisions—you should seek qualified human advice where appropriate. We do not guarantee the accuracy, completeness, or fitness for any particular purpose of any output. We may update or retrain models over time; behavior may change between versions.

6. Content, Feedback, and License

  • Your content: You retain ownership of content you submit to the Service (e.g. messages, profile information, feedback). You grant Ophraxx AI a non-exclusive, royalty-free, worldwide license to use, store, process, and display that content as necessary to provide, maintain, and improve the Service, to enforce our policies, and as described in our Privacy Policy and Your Data and Model Performance. You may opt out of use for model improvement via our support channel.
  • Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you and without restriction.
  • No waiver: Our use of your content under this license does not constitute a waiver of your ownership; the license ends when we no longer need the content for the purposes described, subject to retention required by law or for safety.

7. Intellectual Property

Ophraxx AI and its software, models, documentation, trademarks, and other materials are owned by us or our licensors. These Terms do not grant you any right, title, or interest in our intellectual property except the limited right to use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works from our Service or materials except as expressly permitted by us in writing.

8. Safety and Enforcement

We use multi-layer automated systems and, where appropriate, human review to enforce our safety and usage policies. Our systems are built and operated in-house; we do not outsource core moderation or safety decisions. Violations may result in warnings, rate-limit adjustments, temporary restrictions (e.g. soft-blocks, timeouts), or permanent termination of access. We may remove content or disable features to protect users or comply with law. Our enforcement approach, trust levels, and appeal process are described in our Trust & Transparency and Security & Privacy pages. You may appeal restrictions through our designated support channel.

9. Privacy and Data

We process personal data as described in our Privacy Policy, Your Data and Model Performance, and related notices (e.g. Cookie Policy, Health Privacy Notice where applicable). We may use service content to improve models and safety, with an opt-out available upon request via our support channel. We do not sell your personal information. By using the Service, you consent to our collection, use, and disclosure of data as described in those policies.

10. Integrations and Platform Access

Ophraxx AI may be accessed through channels or integrations we provide (e.g. our bot in connected servers, our website, or future APIs). Your use of the Service is governed by these Terms regardless of the access channel. Where you use the Service in an environment that has its own terms or rules (e.g. a server or community), you must comply with those rules in addition to ours. We are not responsible for the policies or conduct of those environments; we are responsible only for our own Service and policies.

11. Availability, Modifications, and Termination

We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We are not liable to you or any third party for any change, suspension, or discontinuation. We may terminate or suspend your access immediately if you breach these Terms or our Usage Policies, or for any other reason we deem necessary to protect the Service or users. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (e.g. intellectual property, disclaimers, limitation of liability, dispute resolution) will survive termination.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Ophraxx AI and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or other intangible losses) arising out of or related to your use or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of the amount you paid us in the twelve (12) months preceding the claim or one hundred United States dollars (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ophraxx AI and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your content or conduct, (c) your violation of these Terms or our Usage Policies, or (d) your violation of any law or the rights of a third party.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of such courts. You waive any right to a jury trial and any right to participate in a class action. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
